1. ABOUT THESE TERMS

These Terms govern use of the NPATI website, marketplace, accounts, content and social features, Plugins & Apps, NPATI Hub and connected workflows. NPATI is operated by Individual Entrepreneur KOSTASHCHUK MARIIA ARTEMONIVNA, identification code 2358722027 (“NPATI,” “we,” or “us”).

By creating an account, connecting an integration or using the services, you agree to these Terms and the Privacy Policy. If you use NPATI for an organization, you represent that you are authorized to accept these Terms and grant permissions on its behalf.

We may update these Terms to reflect service, legal or security changes. Material changes will receive notice where required by applicable law. Changes do not retroactively remove accrued rights, and any consent required by law will be requested separately.

2. ACCOUNTS AND AUTHORITY

Provide accurate account information, keep credentials secure and promptly report suspected unauthorized access. You are responsible for activity under your account to the extent it results from your actions or failure to use reasonable security, but nothing in these Terms makes you responsible for conduct caused by NPATI's own breach of its legal duties.

You may connect only websites, accounts, platforms and services that you own or are authorized to administer. You must have authority to grant each requested permission and to instruct NPATI to process the relevant content and data. Account and feature age requirements may vary; marketplace transactions and commercial integrations must be used by an adult or a duly authorized business representative.

3. MARKETPLACE AND USER INTERACTIONS

NPATI provides tools for publishing listings, media and content and for communicating with other users. Unless NPATI expressly states otherwise for a particular service, NPATI is not the seller, buyer, carrier or party to a transaction between users. Sellers and buyers are responsible for their offers, due diligence, payment, delivery, taxes, licenses, product legality and transaction obligations.

Listings and other content must be accurate, lawful, placed in an appropriate category and not misleading. You may not use NPATI for fraud, spam, malware, unauthorized scraping, security circumvention, impersonation, manipulation, infringement, unlawful goods or services, sexual exploitation, terrorism, hate or other content prohibited by applicable law or published platform rules.

NPATI may review, restrict or remove content and suspend access when reasonably necessary to enforce these Terms, protect users, comply with law or secure the service. Where required by law, available notice and appeal rights will be provided. Contact support@npati.com to challenge a decision.

4. NPATI PLUGINS, APPS, AI AND AUTOMATED WORKFLOWS

4.1 NPATI's role

NPATI provides software tools and connected workflows. You choose integrations, grant permissions, configure actions, provide instructions, determine content and decide what to publish or distribute. You are responsible for ensuring that your use, content and instructions are lawful and that you have all necessary privacy, intellectual-property and platform rights.

NPATI performs only supported actions made available through the relevant connection. Availability depends on the plugin version, connected service, account permissions and configuration. NPATI does not promise that every described integration or third-party capability will always be available.

4.2 WordPress and NPATI Hub actions

By explicitly connecting a WordPress website to NPATI Hub, an authorized administrator permits the system to exchange the site and content data described in the Privacy Policy and to perform supported actions according to the administrator's instructions, permissions and configuration. Supported actions may include:

  • listing and viewing WordPress posts;
  • creating drafts;
  • editing or updating posts, excerpts, SEO fields, categories, tags and featured media;
  • scheduling or publishing posts through supported workflows;
  • moving supported posts to WordPress Trash;
  • listing, importing, uploading or deleting supported media;
  • listing, creating or deleting supported categories and tags; and
  • creating and managing connected content, social-publishing or marketplace jobs.

Remote publishing is disabled by default in the plugin and may be restricted by its security mode. Deletion, publishing and other consequential actions should be limited to trusted users and reviewed through an appropriate approval process.

4.3 Unintended changes and backups

Automated or AI-assisted actions may produce unintended changes, wording, schedules or publication results. Review configuration, permissions, generated content and publication instructions before important actions. Maintain appropriate WordPress and media backups where reasonable. NPATI does not guarantee that generated or automated modifications will always match your intended wording or result.

These provisions do not exclude responsibility for intentional misconduct, statutory consumer rights or obligations that applicable law does not permit NPATI to exclude.

4.4 AI-generated content

AI output can be inaccurate, incomplete, outdated, biased or contain unintended material. Review and edit output before relying on, publishing or distributing it. You decide whether to use the output and remain responsible for the resulting content, subject to obligations that applicable law places directly on NPATI.

NPATI does not guarantee factual accuracy, SEO ranking, legal compliance, publication results, sales, traffic or any other outcome from AI or automation. AI output is not automatically legal, medical, financial, tax or investment advice. Obtain qualified professional review when the subject or risk requires it.

4.5 OpenAI and ChatGPT

OpenAI is optional in the WordPress plugin and requires an API key controlled by the administrator. OpenAI API use and charges are governed by the terms applicable to that OpenAI account. Compatible ChatGPT workflows require the user's ChatGPT access and the necessary NPATI connection and permissions.

NPATI is independent and is not owned by or presented as an official product of OpenAI or WordPress. References to OpenAI, ChatGPT and WordPress identify compatibility or a connected third-party service and do not imply ownership, endorsement or partnership.

5. USER CONTENT AND INTELLECTUAL PROPERTY

You retain rights you lawfully hold in your prompts, listings, WordPress content, uploaded media and other content. You grant NPATI a non-exclusive license to host, copy, transmit, format, display and otherwise process that content only as reasonably needed to provide, secure and improve the selected services, comply with your instructions and enforce these Terms. Public content may be displayed and promoted as part of the service while it remains public.

You represent that you have the rights and permissions necessary for content, trademarks, personal data, prompts, media and instructions you provide or publish. Do not assume that AI output is protectable, non-infringing or exclusively owned; output rights depend on applicable law and the terms of the AI provider. You are responsible for checking third-party rights before use.

NPATI software, branding and original service materials are owned by NPATI or its licensors. The WordPress plugin is also subject to the open-source license stated in its distribution package.

6. THIRD-PARTY SERVICES

Connected services may include WordPress, OpenAI and ChatGPT, social networks, hosting and infrastructure, analytics, email, payment and other integration providers. Third-party services are governed by their own terms, privacy policies, account settings and fees. Their availability, APIs and behavior may change or be interrupted.

NPATI does not control third-party services and, to the extent permitted by applicable law, is not responsible for a third party's independent acts or omissions. This does not transfer to a third party any responsibility that applicable law places directly on NPATI.

7. FEES

Prices, billing periods, taxes, renewal terms and cancellation options for paid NPATI services will be shown before purchase. Third-party fees, including OpenAI API, hosting, social-platform or payment-provider charges, are your responsibility unless NPATI expressly states otherwise. Mandatory refund, withdrawal and cancellation rights remain available where applicable.

8. AVAILABILITY AND WARRANTIES

We work to provide a reliable service, but internet, WordPress and third-party integrations can fail or change. To the maximum extent permitted by applicable law, NPATI is provided on an “as available” basis without implied warranties that may lawfully be disclaimed. We do not guarantee uninterrupted operation, preservation of every item of content, compatibility with every environment or a particular commercial result.

Nothing in these Terms excludes an express commitment NPATI makes for a specific paid service or any warranty, remedy or consumer right that cannot be excluded under applicable law.

9. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, breach of mandatory data-protection duties, or any liability or consumer right that cannot be excluded or limited under applicable law.

For consumers, NPATI's liability is limited only to the extent permitted by the mandatory law that applies to the consumer. These Terms do not remove rights or remedies provided by mandatory consumer law in the consumer's country of residence.

For business users only, to the maximum extent permitted by applicable law, NPATI will not be liable for indirect or consequential loss, lost profit, lost revenue, loss of opportunity or avoidable loss caused by failure to maintain reasonable backups. Subject to the exclusions in the first paragraph, NPATI's aggregate liability to a business user arising from a paid service will not exceed the fees that user paid NPATI for the affected service during the 12 months before the event giving rise to the claim. The enforceability and application of this cap depend on the governing law and facts.

10. BUSINESS-USER INDEMNITY

This Section applies only to users acting for business or professional purposes, not to consumers. To the extent permitted by applicable law, a business user will indemnify NPATI against third-party claims and reasonable, documented costs arising from that user's unlawful content, infringement of third-party rights, lack of authority to connect an integration, or deliberate misuse of NPATI. This obligation does not cover loss caused by NPATI's breach, negligence or conduct for which indemnity cannot lawfully be required.

11. SUSPENSION, DISCONNECTION AND TERMINATION

You may stop using NPATI, disconnect supported integrations or request account deletion. Disconnecting an integration stops future connected requests but does not automatically reverse publications, delete WordPress content or erase data held under a separate legal basis. See the Privacy Policy for deletion details.

NPATI may suspend or terminate access when reasonably necessary for a material breach, security risk, unlawful activity, non-payment or legal requirement. Where practicable and required, NPATI will provide notice and an opportunity to remedy or appeal. Sections intended by their nature to survive termination, including payment, intellectual property, liability and dispute provisions, remain effective.

12. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of Ukraine, without regard to conflict-of-law rules, and disputes may be submitted to the competent courts of Ukraine. Before filing a claim, contact support@npati.com so the parties can try to resolve it informally.

This choice of law and forum does not deprive a consumer of mandatory protections or access to a court that cannot lawfully be waived under the law of the consumer's habitual residence. Nothing in these Terms requires arbitration or waives a right to bring a claim where such a waiver is not enforceable.

13. GENERAL TERMS

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. NPATI's failure to enforce a provision is not a waiver. You may not transfer an account or these Terms without authorization; NPATI may transfer them as part of a lawful reorganization or service transfer, subject to required notice and your mandatory rights.

These Terms, the Privacy Policy, the Cookie Policy and terms shown for a specific paid service form the agreement for the relevant NPATI services.
